Professional Flow Solutions (PFS)

These Terms and Conditions govern all quotations, works, services, and supply of materials by Professional Flow Solutions (“PFS”, “we”, “our”, “us”) to the client (“you”, “your”, “Client”). By accepting a quote or allowing PFS to commence work, you agree to be bound by these Terms.

1. DEFINITIONS In these Terms:

  • Quote means the written proposal from PFS outlining pricing and scope.
  • Works means all labour, services, materials, and products supplied by PFS.
  • Site means the location where Works are performed.
  • Custom Materials or Custom Design Products means any fabricated or site-specific item made specifically for the Client’s property, including custom flashings, box gutters, and profiled roofing components not suitable for re-use on other sites.

2. ACCEPTANCE OF TERMS 2.1 Acceptance of a Quote, payment of deposit, or instruction to proceed constitutes acceptance of these Terms. 2.2 These Terms prevail over any inconsistent terms in any other document unless agreed in writing by an authorised representative of PFS.

3. QUOTES & VALIDITY 3.1 Quotes are valid for 30 Calendar days from issue. 3.2 Quotes are based on visual inspections and information available at the time. 3.3 PFS may withdraw or modify a Quote before acceptance.

4. DEPOSITS & PAYMENT 4.1 A 30% deposit is required to secure materials and schedule the Works. 4.2 All final invoices are due within 7 days from the date of practical completion. 4.3 If you fail to pay by the due date, PFS may suspend or terminate Works, and recover all reasonable costs of collection, including legal and debt recovery fees. 4.4 Materials remain the property of PFS until paid in full.

5. VARIATIONS & UNSCHEDULED WORK 5.1 Variations arise where Work required is outside the scope of the Quote, including concealed conditions, hidden defects (e.g., rotted timber), deteriorated materials, structural issues, or additional services requested after acceptance. 5.2 If a variation is required due to unforeseen site conditions, PFS will halt work on the affected area, ensure the site is temporarily safe and watertight, and notify the Client immediately. 5.3 Variations will be quoted separately and must be approved by the Client in writing prior to commencement of the additional work.

6. MATERIALS & PRODUCT SUBSTITUTION 6.1 PFS will supply materials consistent with the Quote. 6.2 Where exact materials are unavailable due to supply issues, PFS will notify the Client and seek written approval before substituting materials of equivalent or higher quality. 6.3 Colour, texture, and profile variations can occur due to supplier changes and manufacturing batches. PFS will take reasonable steps to match existing materials but cannot guarantee exact visual matches. 6.4 Custom Materials are non-returnable and non-refundable once ordered or fabricated.

7. INSTALLATION & SITE CONDITIONS 7.1 PFS will install materials in accordance with good trade practice and applicable Australian standards and codes. 7.2 The Client must ensure safe, unobstructed access to the Site. Delays caused by access issues may incur additional charges. 7.3 PFS will take all reasonable care to protect the Client’s property. However, the Client acknowledges that roofing and exterior works inherently carry risk. PFS will rectify any damage caused by our negligence but is not liable for unavoidable minor wear and tear to immediately surrounding work surfaces.

8. ELECTRICAL & SOLAR WORK 8.1 PFS does not undertake electrical disconnections or reconnections, including solar panels, inverters, isolators, or wiring adjacent to works. 8.2 The Client must engage a licensed electrician or request PFS to organise one at the Client’s cost.

9. ASBESTOS & HAZARDOUS MATERIALS 9.1 PFS does not remove or disturb asbestos or hazardous materials. If suspected, Works will halt until a licensed removal contractor is engaged at the Client’s expense.

10. WEATHER & EXTERNAL DELAYS 10.1 Work may be postponed due to unsafe or unsuitable weather, supplier delays, or events outside PFS’s control. 10.2 PFS is not liable for losses caused by unavoidable delays, scheduling changes, or supply issues.

11. WARRANTIES 11.1 PFS complies with all statutory warranties under the Queensland Building and Construction Commission (QBCC) Act. This includes a 6.5-year warranty for structural defects and a 12-month warranty for non-structural defects from the date of practical completion. 11.2 Manufacturers’ warranties apply to materials where applicable, and PFS will provide relevant warranty documentation upon final payment. 11.3 Warranties do not cover: a) Damage from storms, severe weather events, impacts, or acts of nature; b) Issues caused by hidden pre-existing faults not part of the quoted Works; c) Misuse, lack of maintenance, or modifications by third parties.

12. LIMITATION OF LIABILITY 12.1 To the extent permitted by law and the Australian Consumer Law (ACL), PFS’s liability for any loss or damage is limited to the value of the Works performed, or the repair/replacement of the defective Works. 12.2 PFS is not liable for indirect, special, or consequential loss, including loss of income, loss of use, or loss of enjoyment.

13. RISK & OWNERSHIP 13.1 Risk in materials passes to the Client upon installation. If materials are delivered to the Site prior to installation at the Client’s request, the Client is responsible for providing a reasonably secure area to prevent theft or damage. 13.2 Ownership of all materials remains with PFS until full payment is received.

14. DISPUTE RESOLUTION 14.1 Any dispute regarding visible defects or invoice discrepancies should be notified in writing within fourteen (14) days to allow for prompt resolution. This clause does not affect the Client’s statutory warranty rights under the QBCC or ACL for latent (hidden) defects. 14.2 Parties agree to attempt informal resolution in good faith before commencing legal proceedings or lodging a formal dispute with the QBCC.

15. GOVERNING LAW 15.1 These Terms are governed by the laws of the State of Queensland, Australia. 15.2 The parties submit to the exclusive jurisdiction of Queensland courts.

16. ENTIRE AGREEMENT 16.1 These Terms and any accepted Quote form the entire agreement between the parties.

CLIENT ACKNOWLEDGEMENT By instructing PFS to supply Works, paying a deposit, or allowing access to the Site, the Client acknowledges they have read, understood, and agree to be bound by these Terms.
